These Terms of use govern your access to atom.qwixl.com, hosted Atom accounts, and related services operated by Qwixl Ltd from the United Kingdom. Last updated: 26 July 2026. By creating an account or using the service, you agree to these terms. If you do not agree, do not use Atom.
1. Agreement
These Terms of use (“Terms”) form a legally binding agreement between you and Qwixl Ltd regarding your use of Atom, including the website at atom.qwixl.com, the application shell at /app/, hosted agent infrastructure, the module registry we operate, and related APIs (collectively, the “Service”).
If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes the organisation. Where you act as a trader or for business purposes, certain consumer-only rights described in these Terms (including the statutory cooling-off right) may not apply to you.
2. Who operates Atom
The Service is operated by Qwixl Ltd (“Qwixl”, “we”, “us”, “our”), a company registered in England and Wales. Our registered office is in the United Kingdom; company registration and registered-office details are available on request and via Companies House.
References to “Atom” mean the Qwixl product and platform described at atom.qwixl.com and in our public documentation.
3. Eligibility
You must be at least 18 years old and capable of entering a binding contract under applicable law. The Service is not intended for children. By using Atom, you confirm you meet these requirements.
You may not use the Service if you are barred under applicable law or if we have previously suspended or terminated your account for breach of these Terms.
4. The service
Atom is an agent-first platform: a shell you use to chat with a personal agent, approve consequential actions, and coordinate with other agents via structured agent-to-agent protocols.
The Service may include:
- Hosted Standard and BYOK plans — paid plans under which Qwixl provisions and operates an agent on Qwixl infrastructure after successful Stripe Checkout (or an active subscription entitlement);
- Self-hosted connection — free of Qwixl hosting fees, where you run your own agent and connect it with a URL and credentials;
- Discovery, messaging, scheduling, commerce, and module rendering features;
- Developer tools, CLI packages, and open-source components.
We may modify, suspend, or discontinue features with reasonable notice where practicable. We will use reasonable efforts to give notice of material changes that adversely affect paying hosted users.
5. Pre-contract information (consumers)
If you are a consumer in the United Kingdom (or elsewhere where equivalent rules apply), the following information is provided before you enter a distance contract for a paid hosted plan, in line with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (“CCR”):
- Trader — Qwixl Ltd, United Kingdom (see section 2);
- Main characteristics — access to the Atom shell and a hosted agent under the Standard or BYOK plan you select, as described on Pricing and confirmed at Stripe Checkout;
- Price — the subscription or one-off amount shown at Checkout, inclusive or exclusive of tax as stated there;
- Payment and billing — recurring subscriptions renew automatically until cancelled; payment is collected by Stripe on our behalf;
- Provision — we provision hosted access after successful payment (or confirmation of an active entitlement);
- Duration — for subscriptions, the billing period shown at Checkout (for example monthly), continuing until you or we cancel;
- Complaint handling — contact support@qwixl.com or legal@qwixl.com;
- Cancellation — see section 6 for your 14-day cooling-off right and how digital-service exceptions work.
By completing Checkout you confirm that you have had a clear opportunity to review this information, the plan description, and the price before placing your order.
6. Consumer cancellation rights (cooling-off)
Business customers: If you purchase or use the Service wholly or mainly for business, trade, craft, or profession, you are not a consumer for CCR purposes and the statutory 14-day cooling-off right in this section does not apply. Contractual cancellation and refund terms for business customers are those stated at Checkout, in your plan, or agreed in writing.
Consumers — 14-day right: If you are a consumer buying a paid hosted plan at a distance, you generally have 14 days from the day after the contract is concluded to cancel without giving a reason and without charge beyond what the CCR permits (the “cooling-off period”).
6.1 How to cancel
To cancel during the cooling-off period, email a clear statement to support@qwixl.com or legal@qwixl.com (include the email address on the account and, if available, the Stripe receipt or subscription identifier). You may also use any cancellation mechanism we provide in Settings. Cancellation is effective when you send the notice within the 14-day period.
6.2 Digital service and loss of cooling-off
Hosted Atom is a digital service. Under the CCR, your cooling-off right may be lost if:
- You give us your express prior consent to begin supply of the digital service during the cooling-off period; and
- You acknowledge that you will lose your right to cancel once supply has begun with that consent.
Where Checkout or onboarding asks you to confirm that you want immediate access and that you understand you lose the right to cancel once provision begins, and you proceed, we may begin supply immediately and your cooling-off right ends when supply begins.
6.3 Refunds after valid cancellation
If you cancel under a valid cooling-off right that has not been lost as above, we will reimburse all payments received from you for the cancelled contract without undue delay and in any event within 14 days of the day we are informed of your decision to cancel, using the same means of payment unless you agree otherwise. You will not incur fees as a result of the reimbursement, except any amounts the CCR permits us to retain if you requested early supply and then cancel before the right is lost (pro-rata for services supplied).
6.4 After the cooling-off period
After the cooling-off period (or once the right is lost), you may cancel a recurring subscription in accordance with the plan terms and Stripe customer portal or Settings controls. Fees already due for the current billing period are non-refundable except where required by law or stated otherwise at Checkout.
7. Accounts and security
You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account, including actions taken by your agent after you approve them in shell chrome.
Notify us promptly at support@qwixl.com if you suspect unauthorized access. We may suspend accounts to protect the Service or other users.
8. Acceptable use
You agree not to:
- Violate law, regulation, or third-party rights;
- Send spam, malware, or abusive agent-to-agent traffic;
- Impersonate others or misrepresent agent identity or business affiliation;
- Attempt to bypass shell confirmation chrome, module sandboxes, or security controls;
- Probe, scan, or attack the Service or other users’ agents without authorization;
- Scrape or harvest data from the Service except via documented APIs within rate limits;
- Use the Service to develop competing products by systematically extracting proprietary non-open components;
- Reverse engineer hosted-only components except where permitted by law;
- Resell, sublicense, or provide hosted access to third parties except as expressly permitted;
- Use the Service in a way that imposes unreasonable load or interferes with other customers.
We may investigate violations and cooperate with law enforcement. Abuse may result in immediate suspension or termination of hosted access, without refund for the period of suspension where the suspension results from your breach.
9. Your content and data
You retain ownership of content and data you submit through the Service (“Your Content”), including agent store entries, messages, catalog items, and configuration.
You grant Qwixl a limited, non-exclusive, royalty-free licence to host, process, transmit, and display Your Content solely to operate the Service, enforce these Terms, and comply with law. This licence ends when Your Content is deleted from our systems, subject to backup retention described in our Privacy policy.
You are responsible for ensuring Your Content does not infringe others’ rights and that you have appropriate rights to any data your agent processes on your behalf.
10. Third-party services
Atom integrates with services we do not control, including:
- LLM providers — you choose the model endpoint and supply API keys. Your relationship with that provider is separate from these Terms;
- Module authors and registry hosts — third-party modules run in sandboxed iframes; we do not warrant module behaviour;
- Other agents and businesses — agent-to-agent interactions are between participants; Qwixl is not party to your agreements with them;
- Payment processors — Stripe processes payments under its terms; we do not store full card details.
We are not liable for third-party services. Your use of them is at your own risk.
11. Intellectual property
Qwixl Ltd owns or licences the Atom name, logos, hosted service, non-open documentation, software, designs, and proprietary components not licensed under open-source terms. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication or otherwise.
You may not copy, modify, distribute, sell, lease, or create derivative works of our proprietary materials, or use our trademarks, without prior written permission, except as permitted by open-source licences applying to specific components or by mandatory law.
Feedback you provide may be used by us without restriction or compensation.
12. Open-source software
Components of Atom released under open-source licences (including Apache License 2.0) are governed by those licences, not these Terms, to the extent of any conflict. Source code is available at github.com/Qwixl/Atom.
Self-hosting open-source components does not automatically grant access to Qwixl-operated hosted infrastructure, registry signing keys, or production fleet services. Self-hosted use of those components is free of Qwixl hosting fees; hosted Standard and BYOK remain paid services.
13. Fees, subscriptions, and taxes
Self-hosted use of open-source Atom components carries no Qwixl hosting fee. Hosted Standard and BYOK plans are paid services:
- Prices are published on Pricing and confirmed again at Stripe Checkout before you pay;
- We provision a hosted agent only after successful payment or confirmation of an active subscription entitlement;
- Recurring subscriptions renew automatically at the then-current price for the plan until you cancel or we terminate the subscription;
- You authorise Stripe to charge your payment method for each billing period and for applicable taxes;
- Taxes (including VAT) may apply where required by law and will be shown at Checkout or on your invoice where applicable;
- Except for valid consumer cooling-off cancellations under section 6 or where required by law, fees are non-refundable once the relevant billing period has started and cooling-off (if any) has ended or been lost.
You remain responsible for charges incurred with your LLM provider (BYOK / self-hosted) and other third parties you connect. Failed payments may result in suspension of hosted access until payment is restored.
14. Privacy
Our Privacy policy explains how we handle personal data under UK GDPR and the Data Protection Act 2018. By using the Service, you acknowledge that policy.
15. Disclaimers
To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available”. We disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure;
- Agent outputs or LLM responses will be accurate, complete, or suitable for any purpose;
- Agent-to-agent coordination will succeed with every peer;
- Any particular uptime, throughput, or feature set will remain available indefinitely.
Nothing in these Terms excludes or limits warranties that cannot be excluded under UK law, including the Consumer Rights Act 2015 where you are a consumer.
16. Limitation of liability
To the fullest extent permitted by law:
- Qwixl shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to the Service;
- Qwixl’s total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees you paid to Qwixl for the Service in the 12 months preceding the claim, or £100 if you have paid no such fees.
These limits apply whether liability arises in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited under applicable law. If you are a consumer, nothing in these Terms affects your mandatory statutory rights.
17. Indemnity
You will indemnify and hold harmless Qwixl Ltd, its directors, employees, and contractors from claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service;
- Your Content or your agent’s actions;
- Your breach of these Terms or violation of law or third-party rights;
- Disputes between you and other users or businesses on the agent web.
This indemnity does not require you to indemnify us for our own fraud or for liability that cannot be excluded under mandatory consumer law where you are a consumer.
18. Suspension and termination
You may stop using the Service at any time and may request account deletion via Settings or by contacting us. You may cancel a paid subscription as described in section 6 and via Stripe or Settings.
We may suspend or terminate your access immediately if you breach these Terms, pose a security or legal risk, fail to pay fees when due, or if we discontinue the Service. On termination:
- Your right to use hosted infrastructure ceases;
- We may delete hosted data after a reasonable grace period unless law requires retention;
- Fees owed remain payable; consumer cooling-off and mandatory rights are unaffected;
- Provisions that by nature should survive (including IP, acceptable use, liability limits, indemnity, governing law, and this survival clause) remain in effect.
19. Export and portability
Atom is designed for owner control. You may export your agent store and migrate to self-hosted deployments as described in product documentation. Export does not entitle you to Qwixl proprietary hosted-only infrastructure or other users’ data.
You comply with applicable export control and sanctions laws when using the Service internationally.
20. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page will change. Material changes will be communicated in-product or by email where reasonable. Continued use after changes take effect constitutes acceptance of the updated Terms, except that changes do not affect rights that have already accrued. If you do not agree, you must stop using the Service and cancel any paid subscription.
21. General
- Entire agreement — these Terms and the Privacy policy constitute the entire agreement regarding the Service, and supersede prior proposals or representations relating to the same subject matter, except any separate written enterprise agreement signed by Qwixl;
- Severability — if any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder stays in effect;
- No waiver — failure to enforce a provision is not a waiver of that or any other provision;
- Assignment — you may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, corporate reorganisation, or sale of assets;
- Force majeure — we are not liable for delay or failure to perform caused by events beyond our reasonable control, including outages of third-party infrastructure, strikes, acts of government, natural disasters, war, or widespread internet failure;
- Third-party rights — except as expressly stated, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them;
- Notices — we may give notices via the Service, the email on your account, or the contact addresses in section 23; you may give legal notices to legal@qwixl.com.
22. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.
The courts of England and Wales have exclusive jurisdiction to resolve disputes arising from or relating to these Terms or the Service, except that nothing prevents us from seeking injunctive or other equitable relief in any competent jurisdiction.
If you are a consumer, nothing in these Terms deprives you of mandatory protections under the law of your country of residence where those cannot be waived by contract. Consumers resident in Scotland or Northern Ireland may also bring proceedings in their local courts where mandatory rules so require.
